ÜLDTINGIMUSED

Sündmuste tehniline teenindus ja tehnika rent

Käesolevad üldtingimused (edaspidi Tingimused) reguleerivad .japuha OÜ (registrikood: 17390459, aadress: Kroonuaia tn 64–2, 51008; edaspidi Teenusepakkuja) ja kliendi (edaspidi Klient) vahelisi õigussuhteid sündmuste tehnilise teeninduse, tehnika rendi ning nendega seotud teenuste osutamisel.

Tingimused kohalduvad kõigile Teenusepakkuja poolt osutatavatele teenustele, kui pooled ei ole kirjalikult kokku leppinud teisiti.

1. Üldsätted

1.1 Teenusepakkuja osutab sündmuste tehnilise teeninduse teenuseid, sh kuid mitte ainult: heli-, valgus- ja videotehnika rent, transport, paigaldus, tehniline meeskond, sündmuse tehniline läbiviimine ning demontaaž.

1.2 Klient võib olla nii füüsiline kui juriidiline isik. Tarbijale kohalduvad seadusest tulenevad kohustuslikud sätted üksnes ulatuses, milles teenuse iseloom seda võimaldab.

1.3 Teenuse tellimine (pakkumise kinnitamine, tellimuse esitamine või ettemakse tasumine) tähendab Tingimuste täielikku aktsepteerimist.

2. Pakkumised ja lepingu sõlmimine

2.1 Teenuse osutamise aluseks on Teenusepakkuja hinnapakkumine, milles on määratletud teenuse sisu, ajakava, maksumus ja muud olulised tingimused.

2.2 Pakkumine ei ole siduv enne, kui Klient on selle kirjalikult kinnitanud ja Teenusepakkuja on kinnituse aktsepteerinud.

2.3 Teenusepakkujal on õigus pakkumisest loobuda või seda muuta kuni lepingu jõustumiseni.

3. Tasud ja maksetingimused

3.1 Teenuste hinnad on märgitud pakkumises ning sisaldavad käibemaksu, kui ei ole märgitud teisiti.

3.2 Teenusepakkujal on õigus nõuda ettemaksu. Teenuse osutamist alustatakse alles pärast ettemakse laekumist.

3.3 Hilinenud maksete korral on Teenusepakkujal õigus nõuda viivist seaduses lubatud maksimaalses määras ning peatada teenuse osutamine.

4. Tühistamine ja ajakava muutmine

4.1 Kui Klient tühistab sündmuse või teenuse: – rohkem kui 30 päeva enne sündmust – Teenusepakkujal on õigus jätta endale kuni 30% kokkulepitud tasust; – 7–30 päeva enne sündmust – kuni 50% tasust; – vähem kui 7 päeva enne sündmust – kuni 100% tasust.

4.2 Tühistamise korral loetakse kõik tehtud ettevalmistuskulud (planeerimine, tehnika reserveerimine, meeskonna broneerimine) Teenusepakkujale hüvitatavaks.

4.3 Sündmuse edasilükkamine käsitletakse tühistamisena, kui pooled ei lepi kirjalikult kokku uues kuupäevas.

5. Tehnika rent ja vastutus

5.1 Rentnik vastutab renditud tehnika säilimise, korrektse kasutamise ja tagastamise eest kogu rendiperioodi jooksul.

5.2 Tehnika kahjustumise, kaotsimineku või hävimise korral hüvitab Klient kogu tekitatud kahju, sh remondi- või asenduskulud täies ulatuses.

5.3 Rendiperiood algab tehnika üleandmisel ja lõpeb tehnika vastuvõtmisel Teenusepakkuja poolt.

6. Vastutuse piiramine

6.1 Teenusepakkuja vastutus on piiratud konkreetse lepingu alusel makstud tasu summaga.

6.2 Teenusepakkuja ei vastuta: – saamata jäänud tulu; – mainekahju; – kolmandate isikute nõuete eest; – sündmuse ärajäämise eest põhjustel, mis ei ole otseselt Teenusepakkuja kontrolli all.

7. Vääramatu jõud (force majeure)

7.1 Teenusepakkuja ei vastuta kohustuste rikkumise eest, kui see on tingitud vääramatust jõust, sh ilmastikuolud, elektrikatkestused, ligipääsu puudumine, ametivõimude tegevus või muud ettenägematud asjaolud.

7.2 Vääramatu jõu korral on Teenusepakkujal õigus leping osaliselt või täielikult lõpetada ilma kahju hüvitamise kohustuseta.

8. Pretensioonid

8.1 Pretensioonid teenuse osutamise kohta tuleb esitada viivitamata, kuid hiljemalt 7 tööpäeva jooksul pärast sündmuse toimumist.

8.2 Hiljem esitatud pretensioone Teenusepakkuja ei ole kohustatud arvestama.

9. Kohaldatav õigus ja vaidlused

9.1 Tingimustele kohaldatakse Eesti Vabariigi õigust.

9.2 Vaidlused lahendatakse eelkõige läbirääkimiste teel. Kokkuleppe mittesaavutamisel lahendatakse vaidlus Teenusepakkuja asukohajärgses kohtus.

10. Lõppsätted

10.1 Teenusepakkujal on õigus Tingimusi ühepoolselt muuta.

10.2 Kehtivad Tingimused on kättesaadavad Teenusepakkuja veebilehel ja on kohustuslikud kõigile teenuse tellijatele.

GENERAL TERMS

Technical event services and equipment rental

These General Terms govern the legal relationship between .japuha OÜ (registry code 17390459; Kroonuaia tn 64-2, 51008; hereinafter the Service Provider) and the client (hereinafter the Client) for technical event services, equipment rental and related services.

These Terms apply to all services provided by the Service Provider unless the parties have agreed otherwise in writing.

1. General provisions

1.1 The Service Provider offers technical event services including, but not limited to, audio, lighting and video equipment rental, transport, setup, technical crew, technical execution and dismantling.

1.2 The Client may be a natural or legal person. Mandatory consumer protection rules apply only where the nature of the service allows.

1.3 Placing an order (offer confirmation, order submission or prepayment) means full acceptance of these Terms.

2. Offers and contract formation

2.1 Services are provided based on a quotation defining scope, schedule, price and other essential conditions.

2.2 A quotation is not binding until the Client confirms it in writing and the Service Provider accepts the confirmation.

2.3 The Service Provider may withdraw or amend an offer until the contract enters into force.

3. Fees and payment terms

3.1 Service prices are stated in the quotation and include VAT unless noted otherwise.

3.2 The Service Provider may require prepayment and may begin service only after prepayment is received.

3.3 For late payments, the Service Provider may charge statutory maximum late fees and suspend service.

4. Cancellation and schedule changes

4.1 If the Client cancels an event or service:

  • more than 30 days before the event – the Service Provider may retain up to 30% of the agreed fee;
  • 7-30 days before the event – up to 50% of the agreed fee;
  • less than 7 days before the event – up to 100% of the agreed fee.

4.2 In case of cancellation, all incurred preparation costs (planning, equipment reservation, crew booking) are reimbursable to the Service Provider.

4.3 Postponement is treated as cancellation unless the parties agree a new date in writing.

5. Equipment rental and liability

5.1 The renter is responsible for safekeeping, proper use and return of rented equipment throughout the rental period.

5.2 In case of damage, loss or destruction of equipment, the Client compensates full damages including repair or replacement costs.

5.3 The rental period begins upon handover and ends when equipment is accepted back by the Service Provider.

6. Limitation of liability

6.1 The Service Provider's liability is limited to the amount paid under the specific contract.

6.2 The Service Provider is not liable for:

  • loss of profit;
  • reputational damage;
  • claims by third parties;
  • event cancellation due to causes not directly under the Service Provider's control.

7. Force majeure

7.1 The Service Provider is not liable for breach caused by force majeure, including weather conditions, power outages, lack of access, actions of authorities, or other unforeseeable circumstances.

7.2 In force majeure cases, the Service Provider may terminate the contract partially or fully without liability for damages.

8. Claims

8.1 Any claim regarding service quality must be submitted without delay, and no later than 7 business days after the event.

8.2 The Service Provider is not required to consider claims submitted later.

9. Governing law and disputes

9.1 These Terms are governed by the laws of the Republic of Estonia.

9.2 Disputes are first resolved through negotiations. If no agreement is reached, disputes are resolved in the court of the Service Provider's registered location.

10. Final provisions

10.1 The Service Provider may unilaterally amend these Terms.

10.2 The valid Terms are available on the Service Provider's website and are binding for all service orders.
