Event technical services and equipment hire
These general terms and conditions (hereafter Terms and Conditions) govern the .japuha LLC (registration code: _
17390459, address: Kroonuaia tn 64-2, 51008; hereinafter referred to as Service Provider) and the customer (hereinafter Client) for the provision of event technical services, equipment rental and related services.
The Terms and Conditions apply to all services provided by the Supplier unless otherwise agreed in writing by the parties.
1. General provisions
1.1 The Supplier shall provide technical services for events, including but not limited to: rental, transport, installation, technical team, technical execution and dismantling of sound, lighting and video equipment.
1.2 The Client may be either a natural person or a legal entity. The mandatory provisions of the law apply to the consumer only to the extent that the nature of the service so permits.
1.3 Ordering a Service (confirming a quotation, placing an order or paying an advance) constitutes full acceptance of the Terms.
2. Tenders and award of contract
2.1 The provision of the Service is based on the Supplier's quotation, which defines the content, schedule, cost and other material terms of the Service.
2.2 An Offer is not binding until it has been confirmed in writing by the Customer and accepted by the Supplier.
2.3 The Supplier has the right to withdraw or amend the offer until the contract enters into force.
3. Fees and payment terms
3.1 The prices of the Services are stated in the quotation and include VAT unless otherwise stated.
3.2 The Supplier shall be entitled to request advance payment. The provision of the Service will only commence once the advance payment has been received.
3.3 In the event of late payment, the Service Provider has the right to charge interest on arrears to the maximum extent permitted by law and to suspend the provision of the service.
4. Cancellation and rescheduling
4.1 If the Customer cancels an event or service: - more than 30 days before the event - the Supplier is entitled to retain up to 30% of the agreed fee; - 7-30 days before the event - up to 50% of the fee; - less than 7 days before the event - up to 100% of the fee.
4.2 In the event of cancellation, all preparatory costs incurred (planning, equipment reservations, crew reservations) shall be deemed to be reimbursable to the Supplier.
4.3 Postponement of an Event shall be deemed to be a cancellation unless the parties agree a new date in writing.
5. Hire of equipment and liability
5.1 The Lessee is responsible for the preservation, correct use and return of the rented equipment throughout the rental period.
5.2 In the event of damage to, loss or destruction of the equipment, the Customer shall compensate in full for all damage caused, including repair or replacement costs.
5.3 The rental period begins when the equipment is delivered and ends when the equipment is accepted by the Supplier.
6. Limitation of liability
6.1 The liability of the Supplier is limited to the amount of the fee paid under a specific contract.
6.2 The Supplier shall not be liable for: - loss of revenue; - loss of reputation; - third party claims; - cancellation of the Event for reasons beyond the Supplier's direct control.
7. Force majeure (force majeure)
7.1 The Supplier shall not be liable for any breach of its obligations if caused by force majeure, including weather conditions, power cuts, lack of access, action by public authorities or other unforeseen circumstances.
7.2 In the event of force majeure, the Service Provider has the right to terminate the Agreement in whole or in part without any obligation to pay compensation.
8. Claims
8.1 Complaints about the provision of the service must be made immediately, but no later than 7 working days after the event.
8.2 The Service Provider is not obliged to take into account any claims made at a later date.
9. Applicable law and disputes
9.1 The Terms are governed by the law of the Republic of Estonia.
9.2 Disputes shall be resolved primarily by negotiation. In the event of failure to reach an agreement, the dispute shall be settled in the court of the Supplier's domicile.
10. Final provisions
10.1 The Supplier reserves the right to unilaterally amend the Terms.
10.2 The current Terms are available on the Provider's website and are binding on all subscribers.
